Terms of Service
Last updated: September 10, 2026
These Terms of Service govern access to and use of PullUp Rideshare, including its website, mobile applications, transportation coordination, delivery, enterprise, community, rewards, support, and related services. For purposes of these Terms, “PullUp” means PullUp Rideshare as operated by Onyx Repository Foundation, together with authorized affiliates, vendors, technology providers, and service partners.
1. Acceptance of Terms
By creating an account, requesting or providing a service, accepting a trip, using an enterprise or sponsored ride, participating in a PullUp program, or otherwise using PullUp after being presented with these Terms, you agree to these Terms and all policies incorporated by reference. If you do not agree, do not use the service.
You may use PullUp only if you are legally capable of entering into a binding agreement or are using an approved service through a parent, legal guardian, authorized organization, or other lawful representative.
2. Accounts and Accurate Information
You are responsible for maintaining accurate account, identity, contact, payment, rider, driver, vehicle, organization, and trip information. You are responsible for activity performed through your account unless you promptly report unauthorized access. PullUp may require identity, eligibility, payment, safety, licensing, insurance, or other verification before or during use of the platform.
3. Platform Role and Third-Party Services
PullUp provides technology, coordination, dispatch, payment, communication, program-management, and related mobility services. Depending on the service, transportation or delivery may be performed by independent drivers, transportation providers, fleets, contractors, partner organizations, or other third parties. Nothing in these Terms guarantees that every driver or provider is an employee of Onyx Repository Foundation or PullUp. Any legal classification is determined by applicable law and the controlling agreement.
PullUp may use third-party services for mapping, communications, payment processing, identity verification, background screening, hosting, notifications, analytics, and other functions. PullUp is not responsible for an independent third party’s acts, outages, errors, policies, or decisions except to the extent liability cannot lawfully be disclaimed.
4. Service Availability
Service availability may vary by location, time, rider or driver eligibility, vehicle type, weather, traffic, partner requirements, funding, program capacity, technical conditions, and applicable law. PullUp does not guarantee that a ride, delivery, driver, specialty service, preferred driver, reward, promotion, or enterprise assignment will always be available.
5. Payments, Fees, Credits, and Adjustments
You authorize PullUp and its payment processors to charge amounts properly due for services, including fares, fees, tolls, cancellation charges, adjustments, approved damages or cleaning charges, taxes, enterprise charges, or other disclosed amounts. Estimates are not guarantees and may change when trip details, routes, waiting time, stops, tolls, or service conditions change. Credits and promotional value are subject to the Rewards & Offers Policy and may have separate restrictions.
6. Lawful and Safe Use
You may not use PullUp for unlawful, fraudulent, abusive, threatening, discriminatory, harassing, dangerous, deceptive, or unauthorized conduct. You may not interfere with the platform, manipulate location or trip data, misuse another person’s identity or payment method, evade fees, exploit promotions, scrape or reverse engineer protected systems, or use platform data for purposes unrelated to legitimate services.
Users must comply with the Community Guidelines, Safety Policy, Non-Discrimination Policy, Accessibility & Service Animal Policy, and any service-specific terms that apply.
7. Safety and Assumption of Ordinary Transportation Risk
Transportation, delivery, and in-person interactions involve risks that technology cannot eliminate. By using PullUp, you acknowledge ordinary risks associated with road travel, traffic, weather, third-party conduct, pickup and drop-off environments, and the handling of personal property. Nothing in these Terms waives any right or remedy that applicable law does not permit you to waive.
PullUp safety tools, identity checks, driver screening, trip verification, location services, ratings, monitoring, or reporting systems are risk-reduction measures and are not guarantees that a person, vehicle, location, or trip is risk-free. In an emergency, call 911 or the appropriate emergency service.
8. Suspension and Termination
PullUp may restrict, suspend, investigate, or terminate access when reasonably necessary to address safety concerns, suspected fraud, payment issues, policy violations, legal requirements, eligibility problems, misuse, threats to platform integrity, or risk to riders, drivers, partners, staff, or the public. PullUp may preserve records and cooperate with lawful investigations or legal process.
9. Protected Parties and No Personal Liability
For purposes of these Terms, “Protected Parties” means Onyx Repository Foundation, PullUp Rideshare, and their current and former directors, officers, founders, employees, volunteers, contractors, agents, representatives, successors, and assigns, including Rodney Addison and Amanda Dixon when acting in connection with PullUp, Onyx Repository Foundation, or an authorized program.
To the fullest extent permitted by law, obligations arising from your use of PullUp are obligations of the applicable organization or contracting party and do not create personal liability against an individual director, officer, founder, employee, volunteer, agent, or representative merely because that person participated in governance, development, administration, operations, support, communications, policy enforcement, or program oversight.
Nothing in this section limits liability that applicable law does not allow to be limited, including liability for a person’s own fraud, willful misconduct, or other non-waivable conduct.
10. Disclaimer of Warranties
To the fullest extent permitted by law, PullUp and the Protected Parties provide the platform and related services on an “as available” and “as is” basis and disclaim warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, uninterrupted availability, error-free operation, or a particular outcome. No statement by a representative creates a warranty unless it is expressly included in a written agreement authorized by PullUp.
11. Limitation of Liability
To the fullest extent permitted by law, PullUp and the Protected Parties will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost opportunities, loss of goodwill, or loss of data arising from or related to use of the platform, third-party conduct, service interruptions, or unavailable services.
Where monetary liability may lawfully be limited, aggregate liability for a claim arising from the platform will not exceed the greater of the amount paid by the claimant to PullUp for the applicable service during the twelve months preceding the event giving rise to the claim or one hundred dollars ($100), except where a different amount is required by law, insurance obligations, or a signed written agreement. This limitation does not apply to liability that cannot legally be limited.
12. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless PullUp and the Protected Parties from third-party claims, losses, liabilities, damages, penalties, costs, and reasonable attorneys’ fees arising from your unlawful conduct, fraud, material breach of these Terms, misuse of the platform, violation of another person’s rights, unsafe acts, unauthorized use of data, or failure to satisfy obligations you are legally responsible for. This provision does not require you to indemnify a Protected Party for liability that law places solely on that Protected Party and does not permit to be shifted.
13. No Partnership, Fiduciary Duty, or Personal Guarantee
Unless a separate signed agreement expressly states otherwise, use of PullUp does not create a partnership, joint venture, fiduciary relationship, franchise, agency relationship, or personal guarantee between a user and any Protected Party. No individual associated with PullUp personally guarantees platform obligations merely by communicating with a user or administering a program.
14. Intellectual Property and Platform Materials
PullUp names, logos, designs, software, workflows, text, graphics, program materials, and other protected content may not be copied, resold, modified, or commercially exploited without authorization, except as permitted by law.
15. Governing Law and Dispute Process
Before filing a non-emergency claim, the parties are encouraged to provide written notice of the dispute and allow a reasonable opportunity for informal resolution. Unless applicable law requires otherwise or a separate written agreement controls, these Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules, and any judicial proceeding shall be brought in a court with proper jurisdiction in New Jersey.
Nothing in these Terms prevents a person from reporting a matter to law enforcement, a regulator, an insurance carrier, or another government agency, or from exercising a non-waivable statutory right.
16. Changes, Severability, and Entire Agreement
PullUp may update these Terms prospectively. Material changes may be communicated through the website, application, account notice, email, or another reasonable method. If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain in effect.
These Terms, together with incorporated PullUp policies and any applicable signed service agreement, form the agreement governing your use of PullUp. A specific signed agreement controls over these Terms only to the extent it expressly says so.
Important: These Terms are intended to allocate responsibilities and protect PullUp, Onyx Repository Foundation, and the Protected Parties to the fullest extent permitted by law. They do not waive rights or duties that applicable law makes non-waivable.
