PULLUP RIDESHARE

Enterprise Terms

Last updated: September 10, 2026

These Enterprise Terms apply to businesses, nonprofit organizations, government agencies, municipalities, schools, healthcare or social-service organizations, workforce programs, sponsors, and other entities that create, fund, schedule, administer, or manage transportation or delivery through PullUp Rideshare. These Terms supplement the PullUp Terms of Service and any signed enterprise agreement.

1. Authority to Act for the Organization

The person creating or administering an enterprise account represents that the person has authority to act for the organization and to request services, manage authorized users, approve charges, and accept applicable terms. The organization is responsible for maintaining accurate administrator access and promptly removing individuals who are no longer authorized.

2. Managed Riders and Authorized Users

The organization is responsible for determining who is eligible for its program, obtaining any consent or authorization it is legally required to obtain, providing accurate rider and trip information, and communicating program restrictions to participants. PullUp may rely on information provided by an authorized organization administrator unless it has reason to believe the information is materially inaccurate or unlawful.

3. Program Scope and Service Availability

Enterprise access does not guarantee a specific number of drivers, trip volume, pickup time, coverage area, route, recurring driver, vehicle type, or service level unless a signed agreement expressly provides a service-level commitment. Driver availability may vary based on geography, qualifications, traffic, weather, safety, law, and operational capacity.

4. Charges, Funding, and Payment Responsibility

The organization is responsible for authorized charges, agreed fees, trip costs, cancellation charges, tolls, approved adjustments, and other amounts under its account or written agreement. Funding caps, vouchers, rider co-pays, sponsor rules, purchase orders, grant restrictions, or internal approvals do not limit payment obligations unless PullUp expressly accepts those limitations in writing.

A purchase order, procurement form, onboarding portal, or unilateral vendor term does not amend PullUp’s legal terms unless an authorized PullUp representative expressly agrees in writing.

5. Taxes, Reporting, and Records

Each party is responsible for taxes and reporting obligations legally assigned to it. PullUp may provide trip, invoice, utilization, and operational records reasonably available through the platform, but does not guarantee that platform reports satisfy every grant, audit, reimbursement, regulatory, or accounting requirement unless the applicable written agreement says so.

6. Privacy, Data, and Confidential Information

Organizations must provide only information they are authorized to share and must use PullUp data only for lawful program purposes. Each party must protect confidential information using reasonable safeguards appropriate to the information and applicable law.

Unless PullUp has signed a separate Business Associate Agreement or other legally required data-protection agreement, use of the platform does not by itself make PullUp or Onyx Repository Foundation a HIPAA business associate, custodian of medical records, fiduciary, or regulated data processor beyond obligations actually imposed by applicable law. Organizations must not assume a specialized legal data relationship exists solely because transportation relates to healthcare, counseling, social services, or another sensitive program.

7. Minors, Vulnerable Riders, and Specialty Programs

Transportation involving minors, vulnerable adults, medical needs, school programs, supervised riders, or other specialty populations may require additional written procedures, guardian consent, driver qualifications, insurance, training, or legal compliance. Enterprise account access alone does not authorize a specialty service that PullUp has not expressly activated.

8. Organization Responsibilities

The organization is responsible for lawful program design, accurate eligibility rules, authorized rider lists, emergency contacts where required, appropriate use of rider information, internal staff permissions, and compliance with obligations that legally belong to the organization. PullUp is not responsible for an organization’s internal employment, healthcare, school, benefits, procurement, grant, or case-management obligations unless a signed agreement expressly assigns a specific duty to PullUp.

9. Drivers and Third-Party Providers

Transportation may be performed by eligible drivers, contractors, fleets, partner transportation providers, or other lawful service providers. Enterprise status does not automatically make those providers employees or agents of the organization, PullUp, or Onyx Repository Foundation. Legal status is determined by applicable law and the controlling agreement.

10. Safety and Emergency Limitations

PullUp is not an emergency medical or emergency-response service. Organizations must not use ordinary PullUp transportation as a substitute for 911, ambulance service, secured transportation, clinical supervision, or another specialized service when such service is legally or medically required.

11. Intellectual Property and Publicity

Neither party may use the other party’s name, logo, trademarks, endorsements, or confidential program materials in advertising, press releases, fundraising, or public representations without authorization, except for factual references permitted by law or a signed agreement.

12. Protected Parties and No Personal Liability

For these Enterprise Terms, “Protected Parties” means Onyx Repository Foundation, PullUp Rideshare, and their current and former directors, officers, founders, employees, volunteers, contractors, agents, representatives, successors, and assigns, including Rodney Addison and Amanda Dixon when acting in connection with PullUp, Onyx Repository Foundation, or an authorized program.

To the fullest extent permitted by law, an organization agrees that contractual and payment obligations are obligations of the applicable contracting entities and do not create personal liability for Rodney Addison, Amanda Dixon, or any other individual Protected Party merely because that individual negotiated, signed in a representative capacity, administered, communicated about, developed, supervised, or supported the enterprise relationship.

No individual Protected Party personally guarantees trip volume, payment, funding, reimbursement, driver availability, program performance, grant outcomes, regulatory approval, or organizational obligations merely by participating in the relationship.

This section does not limit liability that applicable law does not permit to be limited, including for a person’s own fraud, willful misconduct, or other non-waivable conduct.

13. Organization Indemnification

To the fullest extent permitted by law, the organization agrees to defend, indemnify, and hold harmless PullUp and the Protected Parties from third-party claims, penalties, losses, damages, and reasonable attorneys’ fees arising from the organization’s unauthorized rider enrollment, unlawful instructions, breach of privacy obligations, inaccurate eligibility information, failure to obtain required consent, misuse of platform data, internal account misuse, or violation of law. This does not require indemnification for liability that law places solely on a Protected Party and does not permit to be shifted.

14. Limitation of Liability

To the fullest extent permitted by law, PullUp and the Protected Parties are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost grants, lost revenue, missed appointments, lost productivity, reputational harm, or losses resulting from ordinary service interruptions, driver shortages, third-party outages, or unavailable capacity. Any liability cap in the PullUp Terms of Service applies unless a signed enterprise agreement or non-waivable law expressly provides otherwise.

15. Termination and Suspension

PullUp may suspend or restrict an enterprise account for material nonpayment, fraud, unsafe practices, misuse, legal risk, privacy violations, threats to platform integrity, or material breach. A signed agreement may provide additional notice, cure, termination, or data-return obligations.

16. Government and Public-Sector Requirements

Government, municipal, county, state, federal, school-district, or other public-sector relationships may require procurement terms, insurance, records obligations, prevailing legal requirements, security standards, or other statutory conditions. Those requirements apply only when legally applicable or expressly incorporated into an authorized written agreement.

17. Controlling Agreement

A mutually signed enterprise agreement, statement of work, business associate agreement, data-protection addendum, or other authorized contract controls over these general Enterprise Terms only to the extent of a direct conflict. Unilateral terms supplied by a customer do not modify PullUp obligations unless expressly accepted by an authorized representative in writing. Non-waivable legal rights remain unaffected.
