Delivery Terms

Last updated: September 10, 2026

These Delivery Terms apply to senders, recipients, account holders, drivers, enterprise users, and organizations that request or receive delivery services through PullUp Rideshare. They supplement the PullUp Terms of Service and any applicable enterprise or specialty-service agreement.

1. Accurate Delivery Information

The sender or requesting organization is responsible for providing accurate pickup, destination, recipient, contact, access, handling, and delivery instructions. PullUp and participating drivers may rely on the information provided and are not responsible for losses caused by materially inaccurate or incomplete instructions except where applicable law provides otherwise.

2. Lawful and Permitted Contents

Users may not knowingly use ordinary PullUp delivery services to transport illegal, stolen, dangerous, hazardous, explosive, toxic, or otherwise prohibited items. Firearms, ammunition, controlled substances, regulated medical materials, human specimens, high-risk biological materials, cash, unusually high-value property, or other specially regulated items may be transported only if PullUp has expressly authorized that category under a separate compliant program or written agreement.

The sender represents that the contents may lawfully be transported and that all required packaging, labeling, documentation, permits, and disclosures have been provided.

3. Packaging and Condition

The sender is responsible for suitable packaging, sealing, temperature preparation, labeling, and protection against ordinary transport conditions unless a written specialty-service agreement states otherwise. PullUp does not guarantee refrigeration, temperature control, sterile handling, chain-of-custody procedures, or specialized security unless expressly included in the applicable service.

4. Pickup and Delivery Verification

PullUp may require photographs, signatures, PINs, names, timestamps, geolocation, recipient confirmation, or other proof of pickup or delivery. Users must not falsify or manipulate delivery verification records.

5. Unattended or Failed Delivery

If a recipient is unavailable or a location cannot be safely or lawfully accessed, the driver may follow applicable instructions to wait, contact the sender or recipient, return the item, deliver to an authorized location, or mark the delivery unsuccessful. Additional waiting, return, or redelivery charges may apply where disclosed and permitted by law.

6. Restricted and Age-Regulated Deliveries

Items requiring age verification, professional licensure, special custody, medical handling, or other regulated delivery procedures are not permitted unless PullUp expressly offers that category and the applicable legal and program requirements are satisfied. Ordinary delivery access does not authorize a user to request a regulated delivery.

7. Loss, Damage, and Declared Value

Unless a written agreement expressly provides insurance or a declared-value protection program, PullUp is not an insurer of delivered property. To the fullest extent permitted by law, PullUp is not responsible for concealed defects, inadequate packaging, ordinary deterioration, inherent vice, spoilage caused by sender preparation, recipient delay, or losses exceeding any expressly stated service limit.

8. Third-Party Merchants and Contents

PullUp may facilitate delivery from restaurants, retailers, organizations, or other merchants. PullUp does not manufacture, prepare, warrant, or guarantee third-party goods and is not responsible for a merchant’s product quality, ingredients, labeling, availability, pricing, or representations except to the extent applicable law or a written agreement makes PullUp responsible.

9. Driver Responsibilities

Drivers must reasonably protect items in their custody, follow lawful delivery instructions, avoid unauthorized use or opening of packages, complete required verification, and promptly report loss, damage, spills, safety concerns, or failed delivery conditions. Drivers may refuse or stop a delivery that appears unlawful or presents a credible safety risk.

10. Protected Parties and No Personal Liability

For these Delivery Terms, “Protected Parties” means Onyx Repository Foundation, PullUp Rideshare, and their current and former directors, officers, founders, employees, volunteers, contractors, agents, representatives, successors, and assigns, including Rodney Addison and Amanda Dixon when acting in connection with PullUp, Onyx Repository Foundation, or an authorized program.

To the fullest extent permitted by law, no Protected Party incurs personal liability merely because that person established delivery rules, communicated with a sender or recipient, dispatched a driver, reviewed delivery evidence, handled a complaint, administered a partner program, or otherwise acted within authorized organizational duties.

No individual representative personally guarantees the condition, legality, value, merchant quality, successful delivery, or replacement of an item merely by assisting with or administering a delivery.

This protection does not limit liability that applicable law does not permit to be limited, including for a person’s own fraud, willful misconduct, or other non-waivable conduct.

11. Sender Indemnification

To the fullest extent permitted by law, the sender or requesting organization agrees to defend, indemnify, and hold harmless PullUp and the Protected Parties from third-party claims, penalties, losses, damages, and reasonable attorneys’ fees arising from prohibited contents, unlawful shipping instructions, inadequate packaging, inaccurate recipient information, undisclosed hazards, violation of law, or infringement of another person’s rights. This does not shift liability that applicable law requires a Protected Party to bear.

12. Limitation of Liability

To the fullest extent permitted by law, PullUp and the Protected Parties are not liable for indirect, incidental, special, punitive, or consequential losses arising from delayed, failed, lost, damaged, or unavailable delivery service. Any monetary limitation in the PullUp Terms of Service also applies unless a specific signed delivery agreement or non-waivable law provides otherwise.

13. Specialty and Enterprise Services

Medical courier, specimen, regulated, high-value, enterprise, scheduled-route, or other specialty deliveries may require separate written terms, insurance, chain-of-custody rules, training, equipment, or compliance procedures. Those written terms control to the extent of a direct conflict with these general Delivery Terms.
